Continued involvement in the program constitutes acknowledgment and acceptance of any updates, and members are responsible for reviewing these terms regularly to stay informed. The program also operates in accordance with Shady Rays’ privacy practices, which describe the collection, use, and protection of personal information.

Members earn points by completing designated qualifying actions, which may include purchases or other activities specified by Shady Rays. Accumulated points can be redeemed for a selection of rewards and benefits curated by the company. It is important to note that participation in the program does not create any property rights or guarantees of continued availability, and points have no cash value. Shady Rays retains full discretion to modify, suspend, or terminate the program at any time, including adjustments that may affect previously earned points or rewards. The program is void where prohibited by law, and eligibility is limited to legal residents of the fifty United States and the District of Columbia who have reached the age of majority and maintain a registered account with the company. Individuals under eighteen may participate as guests but are not eligible for points. Only one account is permitted per person or email address, and members must maintain accurate account information to receive program communications.

Points are earned on qualifying purchases made through registered accounts, either online or at participating retail locations, based on the pre-tax, pre-fee amount of the purchase. Taxes, shipping, and purchases outside of approved channels do not earn points. Points are credited within forty-eight hours of the qualifying activity, but retroactive credit is not guaranteed. Points cannot be purchased or transferred, are intended for personal use only, and expire 365 days after being earned. The program also includes tier levels that reward members based on their annual qualifying spending. Advancement to higher tiers increases point-earning rates and access to additional benefits, and tier status is recalculated each year based on spending.

Redemption of points requires minimum thresholds and occurs in fixed increments set by Shady Rays. Benefits are limited to one per transaction, are non-transferable, and cannot be combined with other offers. Points and benefits are forfeited if an account is closed or if the program ends. Accounts may also be suspended or terminated for suspected abuse, fraud, or actions deemed harmful to the program or its members, resulting in the loss of accumulated points and rewards.

All disputes are subject to individual arbitration under the Federal Arbitration Act, with both parties waiving rights to jury trials or class actions. Members may opt out of arbitration within thirty days of enrollment by submitting a written notice. Disputes require informal resolution efforts and may proceed to non-binding mediation before arbitration. Claims that fall within small claims jurisdiction may be filed in the appropriate court. The program is governed by the laws of Kentucky, without regard to conflict-of-law principles, and Shady Rays limits liability to $100 per member for any program-related damages. Members are responsible for protecting account access credentials. These terms constitute the entire agreement governing the rewards program and supersede prior agreements, with Shady Rays retaining the right to enforce, modify, or sever provisions while maintaining the remainder of the agreement in effect.
